What’s it like working as a Governance Specialist at Questrade?
The Governance Specialist supports the General Counsel/Corporate Secretary in managing the company’s governance framework and ensuring compliance with legal and regulatory requirements. This role involves assisting with the preparation and maintenance of corporate records, organizing board/committee meetings, and facilitating effective communication between the board of directors and senior management.

In this role, responsibilities include but are not limited to:
Corporate Records Management:
- Assist in the preparation, maintenance, and updating of corporate records, including minutes of meetings, meeting materials, and resolutions using internal applications/management systems including Google and Govenda.
- Maintain a comprehensive and up-to-date corporate calendar, including board and committee meetings, shareholder meetings, and regulatory filing deadlines.
- Ensure all corporate filings are completed accurately and submitted on time to regulatory authorities.
- Track and maintain all records in compliance with records management policies and procedures and for audit purposes.
Board and Committee Support:
- Help organize board and committee meetings, including scheduling, preparing agendas, and distributing meeting materials
- Collect, review and proofread all documentation and materials sent to Directors; ensure accuracy and quality of materials prior to timely delivery to Directors.
- If required, record minutes during meetings, ensuring accurate and timely documentation of discussions and decisions.
- Track action items and follow up on their completion.
Compliance and Regulatory Support:
- Assist in ensuring compliance with corporate governance policies, procedures, and relevant laws and regulations.
- Prepare and file necessary reports and disclosures with regulatory bodies as required.
- Stay abreast of changes in corporate governance best practices, relevant laws, and regulations, and provide updates to the General Counsel/Corporate Secretary.
Communication and Coordination:
- Serve as a point of contact for board members, senior management, and external parties regarding corporate governance matters.
- Coordinate communication between the board of directors and the executive team, ensuring timely and effective dissemination of information.
Administrative Support:
- Provide general administrative support to the Corporate Secretary, including scheduling meetings, managing correspondence, and organizing files.
- Assist in the preparation of corporate governance reports and presentations.
Training and Development:
- Stay updated on best practices in corporate governance and relevant legal and regulatory changes.
- Participate in training sessions and professional development opportunities to enhance skills and knowledge.

- Bachelor’s degree in Business Administration, Law, or a related field; a paralegal certification or similar qualification is a plus.
- Governance designation or knowledge about corporate governance considered an asset
- Minimum of 3-5 years of experience in a corporate governance or administrative role, preferably within a corporate or legal environment.
- Strong understanding of corporate governance principles, compliance requirements, and regulatory frameworks.
- Excellent organizational skills with the ability to manage multiple tasks and prioritize effectively.
- Ability to build and maintain strong relationships with board members, senior management, and external stakeholders.
- Excellent time management and prioritization skills with the ability to meet tight deadlines and handle multiple tasks simultaneously.
- Strong written and verbal communication skills with attention to detail.
- Proficiency in Google applications and familiarity with governance management software.
- Ability to handle confidential information with discretion and maintain professional integrity.
